These Terms of Service ("Terms") govern your access to and use of the website at https://www.itjustworks.click and your relationship with It Just Works, operated by Paras Negi("we", "us", or "our"). By accessing or using this website, you agree to these Terms. If you do not agree, do not use the website.

1. About our services

It Just Works provides freelance web development, design, Shopify store builds, backend systems, automation, and related digital services on a project or engagement basis. Information on this website is for general marketing and informational purposes. A binding agreement for services is formed only when both parties expressly agree to a written or documented proposal, statement of work, or contract.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under applicable law to use this website or engage our services. If you contact us on behalf of a business, you represent that you have authority to bind that business.

3. Website use

You agree not to:

• Use the website for unlawful, fraudulent, or abusive purposes
• Attempt to gain unauthorized access to our systems or data
• Interfere with website security, availability, or performance
• Scrape, harvest, or automate access in a way that harms the site
• Submit false, misleading, or malicious information through our forms

Submitting a contact form, popup inquiry, email, phone call, or WhatsApp message does not create a client relationship or obligate us to accept a project. We reserve the right to decline work at our discretion. Response times quoted on the website are estimates, not guarantees.

5. Project engagements

When we agree to deliver services, the following principles apply unless otherwise stated in a signed proposal or contract:

• Scope, timeline, deliverables, and fees will be defined in writing
• Changes outside agreed scope may require additional fees and time
• Client cooperation, content, assets, and approvals are required for timely delivery
• Third-party tools, hosting, domains, licenses, and stock assets may incur separate costs
• We may use subcontractors or specialist tools where appropriate

6. Fees and payment

Payment terms, deposits, milestones, and accepted methods will be stated in your project agreement. Unless otherwise agreed, invoices are payable within the period specified in the invoice. Late payments may pause work and may incur reasonable recovery costs where permitted by law.

7. Intellectual property

• Our pre-existing materials: frameworks, code libraries, processes, templates, and know-how remain our property or that of respective licensors
• Website content: text, branding, visuals, and layout on this site are owned by It Just Works or used under license and may not be copied without permission
• Client deliverables: ownership and license terms for project deliverables will be defined in the project agreement. Until full payment is received, we may retain rights necessary to withhold delivery or license transfer where permitted by law
• Portfolio rights: unless agreed otherwise in writing, we may display completed work, screenshots, and project descriptions in our portfolio and marketing materials

8. Client responsibilities

You agree to:

• Provide accurate information and timely feedback
• Supply lawful content, assets, and credentials needed for the project
• Ensure you have rights to any materials you provide
• Review deliverables promptly and report issues within the agreed review window
• Maintain backups and security of credentials shared with you

9. Warranties and disclaimers

The website and any pre-contract information are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free website operation.

After delivery, ongoing maintenance, hosting uptime, third-party platform changes, and post-launch support are not included unless expressly agreed.

10. Limitation of liability

To the maximum extent permitted by applicable law, It Just Works and Paras Negi shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, data, or business opportunities, arising from your use of the website or services.

Our total aggregate liability for any claim relating to the website or services shall not exceed the greater of (a) the amount paid by you to us for the specific service giving rise to the claim in the 3 months before the event, or (b) INR 10,000, except where liability cannot be limited under applicable law.

11. Indemnity

You agree to indemnify and hold us harmless from claims, damages, losses, and expenses arising from your misuse of the website, your breach of these Terms, unlawful materials you provide, or your violation of third-party rights.

12. Termination

We may terminate or suspend website access or an engagement for breach, non-payment, abusive conduct, or legal compliance reasons. Provisions that by nature should survive termination — including intellectual property, confidentiality, payment obligations, disclaimers, and limitations of liability — will survive.

14. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory consumer protections, courts at Shimla, Himachal Pradesh shall have exclusive jurisdiction over disputes arising from these Terms or website use, unless otherwise required by law.
